Privacy Policy

With Seer AI, Inc., doing business as OrcaPanda ("OrcaPanda," "we," "us," or "our"), respects privacy. This Privacy Policy explains how we collect, use, disclose, and retain personal information in connection with our websites, Customer Workspaces, software, managed and professional services, support, sales, and other interactions with us (collectively, the "Services").
This Policy should be read with the OrcaPanda Terms of Service. It does not replace a separate written agreement that applies to a particular Customer.
1. Our privacy roles
OrcaPanda acts as a controller or business when we process personal information for our own purposes, such as operating our website, communicating with prospects, administering accounts, billing, providing support, protecting security, and complying with law.
When a Customer uses a Customer Workspace or asks OrcaPanda to provide Services involving Customer Content, OrcaPanda generally processes personal information included in that Customer Content on the Customer's behalf. The Customer controls that content and determines the purposes for which it is used. If your personal information was submitted to a Customer Workspace by a Customer or its Authorized User, please direct a privacy request to that Customer first. We will assist the Customer as required by applicable law and our agreement with that Customer.
2. Personal information we collect
Depending on how you interact with us, we may collect the following categories of personal information:
- Account and contact information, such as name, business email address, phone number, company, job title, login credentials, authentication information, and account preferences.
- Workspace and service information, such as Workspace membership and roles; files, pages, documents, tasks, comments, approvals, posts, instructions, and Deliverables; and support or professional-services communications.
- Connected-service information, if a Customer elects to connect an external service, such as connected-account identifiers, authorization scopes, connection status, and the information necessary to perform the Customer-authorized integration. OrcaPanda uses APIs and accesses only the information reasonably required for the requested integration or action.
- AI-assisted processing information, such as prompts, inputs, files, relevant Workspace context, outputs, tool requests, evaluations, feedback, and activity or audit records.
- Usage and device information, such as log data, IP address, browser type, device and operating-system information, pages or features used, timestamps, error reports, and security events.
- Billing and transaction information, such as billing contact details, invoices, payment status, and limited payment information received from our payment processor. We do not store payment-card information.
- Marketing and communications information, such as messages we receive, event participation, marketing preferences, and publicly available professional information.
We may receive personal information directly from you, from the Customer you represent, from other authorized Workspace members, from connected services at Customer direction, from service providers that support the Services, from publicly available sources used for Customer-authorized research, and from information generated through use of the Services.
3. How we use personal information
We use personal information to:
- provide, operate, administer, maintain, support, and secure the Services and Customer Workspaces;
- perform Customer-authorized managed and professional services;
- authenticate users, manage permissions, and prevent fraud, abuse, and security incidents;
- process payments, administer accounts, respond to requests, and communicate about the Services;
- improve, troubleshoot, and develop the Services using aggregated or de-identified information that does not reasonably identify a Customer, individual, or Customer Confidential Information;
- send marketing communications where permitted by law and subject to your choices; and
- comply with legal obligations and enforce our agreements.
Where applicable, we rely on contract performance, our legitimate interests in operating and securing our business, legal obligations, and consent for activities that require consent, such as certain marketing communications or non-essential cookies. When we process Customer Content on behalf of a Customer, we do so under that Customer's instructions and our agreement with that Customer.
4. AI-assisted processing
The Services may use artificial intelligence and machine-learning systems to research, classify, summarize, draft, analyze, recommend, or perform Customer-authorized workflow actions. This may involve processing prompts, files, instructions, website content, connected-service data, and relevant Workspace context. Human review and approvals are part of OrcaPanda's managed-service process.
OrcaPanda does not use Customer Content to train, fine-tune, or improve general-purpose artificial-intelligence or machine-learning models unless the Customer expressly opts in. We may use aggregated and de-identified information to operate, analyze, secure, and improve the Services only where it cannot reasonably identify a Customer, an individual, or Customer Confidential Information.
OrcaPanda personnel may access Customer Content when reasonably necessary to provide managed or professional services, support, maintain security, investigate abuse or incidents, or comply with law. We limit that access to personnel with a need to know.
5. How we disclose personal information
We may disclose personal information:
- to the applicable Customer and its Authorized Users, including Customer Workspace administrators, according to the Workspace permissions the Customer configures;
- to service providers that support the Services, such as hosting, authentication, communications, payment, support, security, analytics, and AI-processing providers, subject to appropriate contractual restrictions;
- to a connected service only when a Customer elects to connect that service and directs us to perform an action or exchange information through it;
- to professional advisers, insurers, auditors, and financing or transaction counterparties where reasonably necessary;
- to comply with law, legal process, or governmental requests; protect the rights, privacy, property, or safety of OrcaPanda, Customers, users, or others; or enforce our agreements; and
- in connection with a merger, acquisition, financing, reorganization, bankruptcy, or sale of all or part of our business.
We do not sell personal information or share personal information for cross-context behavioral advertising.
6. Cookies and similar technologies
We may use cookies and similar technologies to operate our website and Services, remember preferences, understand usage, troubleshoot, and protect security. If OrcaPanda offers a mobile application, we may collect device and app-usage information needed to operate, secure, and improve that application. We will update this Policy before using additional technologies or data categories that require disclosure or consent under applicable law. You can control cookies through browser settings, but disabling them may affect some features.
7. Data retention
We retain personal information for as long as reasonably necessary for the purposes described in this Policy, including to provide the Services, comply with legal obligations, resolve disputes, enforce agreements, protect security, and maintain business records.
For Customer Content, our retention and deletion practices are governed by our agreement with the Customer. Following termination, Customer may export Customer Content for 30 days. After that period, we delete Customer Content from active systems, subject to backup cycles, legal obligations, security and fraud-prevention needs, dispute resolution, audit requirements, and legal holds. We retain account, billing, and security records for periods reasonably necessary for those purposes.
8. Your rights and choices
Depending on your location and our role, you may have rights to request access to, correction of, deletion of, restriction of, objection to, or portability of your personal information, and to withdraw consent where processing is based on consent. You may opt out of marketing emails by using the unsubscribe link in the message. If you opt out of marketing communications, we may still send you non-promotional communications relating to your account, security, billing, or use of the Services.
For personal information OrcaPanda controls, submit a request using the contact information below. We may need to verify your identity before fulfilling a request. For Customer Content in a Customer Workspace, contact the applicable Customer first; OrcaPanda generally cannot independently decide whether to grant a request involving that content.
If we deny a request, you may have a right to appeal under applicable law. Contact us using the information below for information about how to appeal.
9. International transfers
OrcaPanda is based in the United States. Personal information may be processed in the United States and in other locations where OrcaPanda or its service providers operate.
10. Additional information for EU, EEA, and UK residents
If you are in the European Economic Area, the United Kingdom, or Switzerland, you may have rights under applicable data-protection law to request access to, correction of, deletion of, restriction of, or objection to OrcaPanda's processing of personal information that OrcaPanda controls, and to request portability of certain information. You may also withdraw consent at any time where processing is based on consent; withdrawal does not affect processing completed before withdrawal or processing based on another lawful basis.
When OrcaPanda processes personal information for its own purposes, it is generally the controller. When OrcaPanda processes Customer Content in a Customer Workspace on a Customer's behalf, the Customer is generally the controller and OrcaPanda acts on the Customer's instructions. Requests concerning Customer Content should ordinarily be directed to the relevant Customer first.
You may lodge a complaint with the data-protection authority in your country of residence, place of work, or the place of the alleged infringement. You may also contact us using the information below.
11. Additional information for California residents
If you are a California resident, the California Consumer Privacy Act, as amended by the California Privacy Rights Act (collectively, the "CCPA"), may provide you with rights to know, access, correct, delete, and obtain a portable copy of personal information that OrcaPanda collects about you as a business; to limit certain uses and disclosures of sensitive personal information; and to be free from discrimination for exercising your privacy rights.
OrcaPanda does not sell personal information or share personal information for cross-context behavioral advertising. To exercise your rights with respect to personal information OrcaPanda controls, contact us using the information below. We may verify your request before responding. You may authorize an agent to make a request on your behalf, subject to verification of the agent's authority and your identity where required by law.
If your personal information is in Customer Content that OrcaPanda processes on behalf of a Customer, contact that Customer to exercise your privacy rights. OrcaPanda will assist the Customer as appropriate under applicable law and its agreement with the Customer.
12. Security
We maintain reasonable and appropriate technical and organizational measures designed to protect personal information against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.
13. Children
The Services are not directed to children, and we do not knowingly collect personal information from children under 16. If you believe a child has provided personal information to us in violation of this Policy, contact us and we will take appropriate steps consistent with applicable law.
14. Changes to this Policy
We may update this Privacy Policy from time to time. We will post the updated Policy, update the "Last updated" date, and provide additional notice when required by applicable law. Your continued use of the Services after an update takes effect is subject to the updated Policy.
